Hi,
I start from the License details. I check license details for all resources and the theme. Then check the Author and ThemeURI, once that's done. I start with the header.php followed by functions.php, footer.php and all the other files.
I review the Theme Unit tests towards the end.

For instance I tend to start from the bottom up and/or other way around.
footer.php and header.php are usually where "you" can find the potentialproblems, such as improper scripts/styles inclusion, bad links, deprecatedfunctions, plugin-territory stuff etc.
If all this "checks-out" I like to open functions.php and go from there.

I know for me when I assign myself a theme one of the first things I do is look through the SVN link files and make sure there are no custom-anything that could be lost when switching a theme. That does include widgets, meta-data, meta_*, CPT and what not. A good portion of the time I do use a localhost setup but try my best to use my domain to test. I do use some custom posts for video, audio and images but for the rest it's the TUT.
