Make sure you have at least WordPress version 3.0.

Make sure that the theme has its own individual directory and check for the
existence of at least the files index.php and style.css

The file style.css should have a header containing the theme information

Upload the theme's contents to /wp-content/themes and you should be able to
activate it from the backend.

If activation returns errors try disabling plugins one by one to see if any
conflicts with the theme.

If still no luck, check the theme against the Theme-Check plugin. If it
returns more than 10 lines of warnings and requireds, the theme is probably
broken.

What's the theme's name, by the way?

Daniel
